Terms of Service

These Terms govern your use of Kiron's website and services, operated by Kiron Intelligence Inc. ("Kiron," "we," "us"). By using Kiron, you agree to these Terms. If you're agreeing on behalf of a company, you confirm you have authority to bind that company.
The service
Kiron is a financial intelligence platform for construction. Our AI agent, Ella, ingests cost documents (quotes, invoices, change orders, lien waivers, certificates of insurance), extracts and verifies the data against your approved scope and budget, and surfaces what your team should review.
Ella's outputs are recommendations, not decisions. Every approval and payment remains your team's responsibility.
Your account
You're responsible for keeping your credentials secure and for activity under your account. Notify us at security@getkiron.com if you suspect unauthorized access.
Your data
You own all documents and data you provide to Kiron. You grant us a limited license to host, process, and analyze that data solely to deliver the service to you, as described in our Privacy Policy. We do not train AI models on your data and do not share it across customers.
Acceptable use
You agree not to use Kiron to violate any law, upload content you don't have rights to, reverse engineer the product, resell it, or use it to build a competing service. We may suspend accounts for material misuse.
Fees
Paid plans are billed in advance per your subscription. Fees are non-refundable except where required by law. We may change pricing on renewal with at least 30 days' notice. You can cancel anytime — cancellation takes effect at the end of your current billing period.
AI outputs and your responsibility
Kiron uses AI to extract, classify, and verify document data. Outputs may be incomplete or inaccurate. You are solely responsible for:
- Reviewing and approving every payment, change order, lien waiver, and certificate of insurance before acting on it.
- Complying with mechanic's lien laws, prompt payment statutes, insurance requirements, and other applicable rules.
Kiron does not provide legal, financial, accounting, or insurance advice.
Disclaimers
The service is provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, Kiron is not liable for indirect, incidental, or consequential damages, or lost profits or data. Kiron's total liability for any claim is capped at the fees you paid to Kiron in the 12 months before the event giving rise to the claim.
Term and termination
These Terms remain in effect while you use Kiron. Either party may terminate for material breach with 30 days' written notice to cure. On termination, your access ends and we delete your data per our Privacy Policy.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Disputes will be resolved exclusively in the state and federal courts of Delaware.
Changes
We may update these Terms from time to time. For material changes, we'll notify account administrators at least 30 days in advance. Continued use after the effective date means you accept the changes.
